TERMS OF SERVICE

These Terms of Service ("Terms") are a legal agreement between Continuum Aesthetics Private Limited ("SknBiome", "Company", "we", "us", "our"), located in Delhi, India (email: support@sknbiome.com; phone: +919354606738), and any person or entity that accesses or uses https://www.sknbiome.com and related mobile applications (the "Platform") or avails any products or services made available via the Platform ("you", "your", "User").

By accessing, browsing, registering on, or using the Platform, or by clicking "I Agree" (or a similar button), you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy and any additional terms referenced in these Terms. If you do not agree, do not use the Platform or Services.

These Terms constitute an electronic record under the Information Technology Act, 2000 and rules thereunder, and do not require physical or digital signatures.


1.   ELIGIBILITY & AUTHORITY

1.1 Age. You must be 18 years or older to use the Platform. By using the Platform, you represent that you are at least 18 years old and capable of entering into a binding contract under Indian law.

1.2 Acting for an entity. If you use the Platform on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.


2.   OUR PLATFORM & SERVICES

2.1 Scope. The Platform enables Users to:

(a)  browse and purchase skincare and healthcare products, including overthecounter items and, where permitted, prescription medicines dispensed by licensed partner pharmacies ("Partner Pharmacies");

(b)  access teledermatology consultations and second opinions from Registered Medical

Practitioners (RMPs) ("Medical Experts");

(c)   book inperson consultations with Medical Experts;

(d)  book diagnostic services provided by thirdparty laboratories ("Partner Labs");

(e)  use AIassisted skin analysis and personalised recommendations (decisionsupport only);

(f)    subscribe to membership plans offering a curated bundle of the above services; and (g) view health and wellness information, general editorial content, and lawful advertising.

Collectively, these are the "Services".

2.2            Marketplace vs. Inventory models. Depending on the product/service, SknBiome may act (i) as a marketplace facilitating transactions between Users and third parties such as Partner Pharmacies/Labs, or (ii) as an inventory ecommerce entity for SknBiomeowned products. Relevant obligations and contract formation are detailed in Section 5.

2.3            No medical emergency service. The Services are not intended for emergencies. In an emergency, call local emergency services or visit the nearest hospital.


3.   ACCOUNT REGISTRATION & SECURITY

3.1 Account. To use certain Services, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us promptly of any unauthorised use.

3.2 Privacy. Our collection and use of personal information (including sensitive personal data or information) is described in our Privacy Policy.


4.   USER CONDUCT

4.1 You agree not to host, display, upload, modify, publish, transmit, update or share any content that is unlawful, harmful, defamatory, obscene, invasive of privacy, hateful, racially/ethnically objectionable, disparaging, relating to or encouraging money laundering or gambling, harmful to children, infringes intellectual property, impersonates another person, deceives/misleads, contains viruses/malicious code, or threatens the unity, integrity, defence, security or sovereignty of India, or otherwise violates applicable law.

4.2 You shall not: (a) attempt to gain unauthorised access to the Platform or related systems; (b) probe, scan or test the vulnerability of any system; (c) use any automated means (spiders, crawlers, scrapers) to access the Platform; (d) reverse engineer or copy the Platform or its content; (e) frame, hotlink or deeplink without consent; or (f) interfere with other Users' use of the Services.


5.   ECOMMERCE TERMS

5.1 Invitation to offer. Product listings on the Platform are an invitation to offer. Your order is an offer to purchase. Acceptance occurs when SknBiome or the relevant Partner

Pharmacy/Seller dispatches the product(s) and issues an invoice/confirmation. We may cancel any order before acceptance, including for stock unavailability, prescription issues, pricing errors, or regulatory constraints.

5.2 Prescription medicines. To order prescription medicines, you must upload a valid prescription issued by an RMP. Partner Pharmacies or SknBiome (if applicable) will verify the prescription. We/Partner Pharmacies may cancel orders for invalid/unclear prescriptions. You must show the original prescription on delivery if requested. Certain schedules may not be sold online/over telemedicine; substitutions are permitted only if authorised by the prescribing RMP or as allowed by law.

5.3 Title and risk. For goods sold by Partner Sellers/Partner Pharmacies, title and risk pass directly from the relevant seller to you at dispatch/invoicing from that seller. For goods sold by SknBiome (inventory model), title and risk pass on dispatch from our fulfilment location.

5.4 Delivery & User Agent. If you are unavailable, you authorise a recipient at your address or your designated agent to receive delivery. Delivery dates are estimates. Risk of loss passes per Section 5.3.

5.5 Nonperformance. SknBiome is not responsible for delays, nonperformance, quality, authenticity or warranty of thirdparty products/services; such responsibility rests with the relevant seller/service provider. We may, on request, share seller contact details for dispute resolution.

5.6 Returns, refunds & shipping. Returns/refunds/cancellations are governed by our Shipping & Returns Policy available at . Some categories (e.g., temperaturecontrolled, hygienesensitive, prescription medicines) may be nonreturnable except as required by law.

5.7 Pricing & availability. Prices, offers and availability are subject to change without notice. Taxes and shipping charges will be displayed at checkout.

5.8 Subscriptions. Membership/subscription plans renew per the plan terms. You can cancel as per plan policy. Benefits are personal and nontransferable.


6.   TELEMEDICINE & HEALTH CONTENT

6.1 Teleconsultations. Teleconsults are provided by Medical Experts (RMPs) in accordance with applicable telemedicine norms. RMP identity will be disclosed. Your consent is recorded (implied if you initiate; explicit where required). Some medicines cannot be prescribed via telemedicine. Eprescriptions are issued at the RMP’s discretion and may not be valid for certain schedules or geographies.

6.2 No doctorpatient relationship with SknBiome. SknBiome facilitates access to Medical Experts and is not a healthcare provider. A doctorpatient relationship, if any, is between you and the RMP. Independent RMPs are not employees or agents of SknBiome.

6.3 AI decisionsupport. AI tools may assist with skin analysis and recommendations and are not diagnostic. Outputs may be reviewed/overridden by an RMP. Do not rely on AI outputs for emergencies or as a sole basis for medical decisions.

6.4 Editorial/Wellness content. Health and wellness content on the Platform is for information only and is not medical advice. Always consult a qualified professional for diagnosis and treatment.


7.   ADVERTISING & PROMOTIONS

7.1 The Platform may carry SknBiome and thirdparty advertising. Ads will be labelled (e.g., “sponsored”). Advertisers are responsible for the lawfulness and substantiation of claims. Ads for prohibited categories (including objectionable drug advertisements) are not permitted. We may reject or remove any ad at our discretion.


8.   PAYMENTS & TAXES

8.1 Payments. We support payment via authorised payment gateways/aggregators (e.g., UPI, cards, netbanking, wallets). You authorise us and our payment partners to charge your selected method for orders/subscriptions.

8.2 Security. Card/UPI data is processed by compliant payment partners. We do not store full card numbers/CVV.

8.3 Taxes. Prices are inclusive/exclusive of taxes as indicated. You are responsible for applicable taxes, duties and charges displayed at checkout.

8.4 Cash on Delivery (if offered). Additional COD fees and limits may apply. We may refuse/restrict COD at our discretion.


9.   INTELLECTUAL PROPERTY

All content on the Platform (excluding thirdparty content) is SknBiome’s or its licensors’ intellectual property and protected by law. You may not copy, reproduce, modify, distribute, display, or create derivative works except as expressly permitted. Trademarks, logos and service marks displayed are the property of their respective owners.


10.   THIRDPARTY SERVICES & LINKS

The Platform may link to thirdparty sites or integrate thirdparty services (including Partner Pharmacies/Labs, payment processors, logistics providers, communication tools). We are not responsible for thirdparty content, terms, or privacy practices. Use at your own risk.


11.  DISCLAIMER OF WARRANTIES

The Platform and Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, SknBiome disclaims all warranties (express or implied) including merchantability, fitness for a particular purpose, accuracy, noninfringement, availability, or that Services will be uninterrupted, timely, secure, or errorfree. We do not warrant thirdparty products/services or content, or that information provided by RMPs is accurate or suitable for your circumstances.


12.   LIMITATION OF LIABILITY

To the maximum extent permitted by law, in no event shall SknBiome, its directors, officers, employees, agents, affiliates, or licensors be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for any loss of profits, data, goodwill or other intangible losses, arising out of or relating to your use of the Platform/Services, even if advised of the possibility. SknBiome’s total aggregate liability for all claims arising out of these Terms or the Services shall not exceed INR 1,000.


13.   INDEMNITY

You agree to indemnify, defend and hold harmless SknBiome and its officers, directors, employees, agents, affiliates and licensors from and against any claims, liabilities, damages, losses and expenses (including legal fees) arising out of or in connection with: (a) your use of the Platform/Services; (b) your breach of these Terms or applicable law; (c) your content; or (d) your interaction/contract with any third party via the Platform.


14.   TERMINATION & SUSPENSION

We may, with or without notice, suspend or terminate your access to the Platform/Services (in whole or part) if: (a) required by law; (b) you breach these Terms or applicable law; (c) we cannot verify information provided by you; (d) your actions may cause legal liability or harm; or (e) we discontinue the Platform/Services. Upon termination, your right to use the Services ceases, and we may delete your data subject to legal retention obligations.

You may stop using the Platform or close your account at any time. Account deletion is permanent and cannot be reversed.


15.   GRIEVANCE REDRESSAL & CONSUMER SUPPORT

       Consumer complaints will be acknowledged within 48 hours and resolved within one month, where feasible.

       Contentrelated grievances (usergenerated content) will be acknowledged within 24 hours and disposed of within 15 days, or earlier as legally required.


16.   COMPLIANCE & REGULATORY DISCLOSURES

16.1 Telemedicine. Teleconsultations are subject to applicable telemedicine norms and medical ethics. RMPs determine prescription suitability and may refuse or require inperson examination.

16.2 Pharmacy & Medicines. Prescription drugs are dispensed only by licensed Partner

Pharmacies against valid prescriptions and subject to applicable schedules/restrictions and recordkeeping requirements. Certain drugs may be nonsubstitutable or nondeliverable due to legal constraints.

16.3 Prohibited Advertisements. The Platform does not permit objectionable advertisements relating to drugs, prohibited claims, or misleading content. Advertisers are solely responsible for compliance.

16.4 Logs & Security Incidents. We maintain ICT logs and follow incident response procedures. Qualifying cyber incidents may be reported to the competent authority as per law.


17.   FORCE MAJEURE

We are not liable for any delay or failure in performance due to events beyond our reasonable control, including acts of God, fire, flood, epidemic/pandemic, strikes, war, terrorism, governmental action, power/telecom outages, or network failures.


18.   CHANGES TO THESE TERMS

We may update these Terms from time to time. The updated Terms will be posted on the Platform with the “Last Updated” date. Material changes may be notified via email/app notices. Continued use after the effective date constitutes acceptance.


19.   GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by the laws of India. Subject to arbitration below, the courts at New

Delhi shall have exclusive jurisdiction. Any dispute shall be referred to arbitration in New

Delhi, conducted in English by a sole arbitrator appointed by SknBiome, under the

Arbitration and Conciliation Act, 1996. The arbitral award shall be final and binding.


20.   MISCELLANEOUS

20.1 Severability. If any provision is held invalid/unenforceable, the remaining provisions shall remain in full force and effect.

20.2 Waiver. No waiver of any term is deemed a further/continuing waiver of such term or any other term.

20.3 Assignment. You may not assign these Terms without our prior written consent. We may assign to an affiliate or in connection with a merger, acquisition or asset sale.

20.4 Headings. Headings are for convenience only and do not affect interpretation.

Annex A – ServiceSpecific Terms

A1. Prescription Handling & Substitution. Orders for prescription medicines require a valid prescription. Substitutions (e.g., generics) are allowed only if permitted by the prescribing RMP or as per law. You must present the original prescription to the delivery personnel when requested. We/Partner Pharmacies may stamp/endorse prescriptions to record fulfilment.

A2. Diagnostics. Booking with Partner Labs is subject to lab availability, sample collection constraints, pretest requirements (fasting, etc.), and report timelines. Partner Labs are solely responsible for sample integrity and result accuracy.

A3. Returns Exceptions. For safety/compliance, certain items (including coldchain medicines, injectables, opened/used products, and customised goods) are nonreturnable unless defective, damaged in transit, or otherwise required by law.

A4. Marketing & Influencers. Endorsements must include clear disclosures of material connections. We may remove noncompliant content/ads.

A5. Account Deletion. Deleting your account is permanent and cannot be reversed. Historical orders and legally mandated records may be retained as required by law.

A6. Consents & Records. We maintain consent and transactional records to the extent required by applicable law and for dispute resolution.
